01Who we are and what these terms cover
JolGo is a transportation management system (TMS) for trucking companies, operated by OyLab LLC, an Illinois limited liability company ("JolGo", "we", "us"). These Terms of Service (the "Terms") are an agreement between JolGo and the company that opens an account (the "Customer", "you"). They cover the JolGo web application, the JolGo Telegram bots, our integrations, and any related support (together, the "Service").
By opening an account, signing an order form, or using the Service, you accept these Terms on behalf of your company. If you do not agree, do not use the Service.
02Your account and your users
You are responsible for the people you let in. Each package includes a set number of user seats, and each seat is for one named person. You agree to keep login details confidential, to tell us promptly if you believe an account has been compromised, and to make sure your users follow these Terms.
You must be a business, not a consumer, and the person accepting these Terms must have authority to bind the Customer.
03The packages, the price, and billing
The Service is sold in monthly packages priced by fleet size, as shown on our pricing page at the time you subscribe. Unless an order form says otherwise:
- Monthly, no contract. Subscriptions renew month to month. You can cancel at any time from your account or by writing to us, and the cancellation takes effect at the end of the current billing month. We do not refund partial months.
- Price lock. Your package price is locked for 12 months from the date you subscribe, provided your fleet stays within the package limits. If your fleet grows past a package limit, we will move you to the matching package and tell you before we bill it.
- Enterprise. Enterprise pricing, setup, and any dedicated representative are described in your order form, which takes precedence over this section where they differ.
- Payment. Fees are billed in advance in US dollars by card or ACH. Late amounts may pause the Service after we have given you notice and a reasonable chance to pay. Prices exclude taxes, which are your responsibility where they apply.
04Your data stays yours
Loads, rate confirmations, proofs of delivery, invoices, driver records, fuel and money-code data, accounting entries, and everything else you or your integrations put into the Service is Customer Data. You own it. You give us the limited right to host, process, transmit, and display Customer Data only to run the Service for you, to support you, and as described in our Privacy Policy.
You are responsible for having the right to put Customer Data into the Service, including data about your drivers and your customers. You can export your Customer Data at any time while your account is active. After cancellation we keep it available for export for 30 days, then delete it from active systems, except where the law requires us to keep it longer.
We may use aggregated, de-identified usage information to improve the Service. It will never identify you, your drivers, or your customers.
05Integrations and third parties
The Service connects to third-party systems such as Telegram, fuel card and money-code providers, ELD and telematics platforms, factoring companies, and accounting software. When you connect one, you authorize us to exchange Customer Data with it on your behalf. Those systems have their own terms, and we are not responsible for their availability, accuracy, or conduct. If a provider changes or ends its interface, the related JolGo feature may change or stop, and we will tell you as early as we can.
Partner names and logos on our website belong to their owners and indicate integrations, not endorsement.
06Acceptable use
You agree not to use the Service to break the law, to send unsolicited messages, to store data you have no right to store, to probe or overload our systems, to copy or reverse-engineer the Service, or to resell it. We may suspend an account that puts other customers, drivers, or the Service at risk, and we will tell you why.
07Automations, background shift, and your judgment
JolGo reads documents, fills fields, matches payments, and flags problems automatically. It is a tool that does routine office work; it does not replace your review. You remain responsible for the accuracy of invoices you send, settlements you pay, filings you make, and instructions you give drivers. Check what matters before it leaves your office.
08Availability and support
We aim to keep the Service available around the clock and we plan maintenance outside busy hours where we can. Support is available by email and through your account, 9 to 5 Central Time on business days, and we reply within the hour during those hours. Enterprise customers may have additional support terms in their order form.
09Confidentiality
Each side may learn non-public information about the other, including your rates, customers, and margins, and our product plans and pricing. Each side will keep that information confidential, use it only for the relationship, and protect it at least as carefully as its own, for as long as it stays non-public.
10What we promise, and what we do not
We promise to provide the Service with reasonable skill and care and substantially as described on our website. Otherwise the Service is provided "as is". We do not promise that it will be error-free or uninterrupted, or that it fits every workflow. We are not a broker, carrier, factor, or accountant, and nothing in the Service is legal, tax, or financial advice.
11Limits on liability
To the extent the law allows, neither side is liable to the other for indirect, special, or consequential losses, including lost profit, lost loads, or lost business, arising from the Service. Our total liability for all claims in any twelve-month period is limited to the fees you paid us for the Service in those twelve months. These limits do not apply to a side's breach of confidentiality, to misuse of the other side's data, or to liability that cannot be limited by law.
12Ending the agreement
You may cancel at any time as described in section 03. We may end the agreement with 30 days' notice, or immediately if you materially breach these Terms and do not fix the breach within 10 days of our notice, or if you become insolvent. On termination, your right to use the Service ends, section 04 governs your data, and any fees due remain due. Sections 04, 09, 10, 11, 12, and 13 survive termination.
13Governing law and disputes
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Before either side starts a lawsuit, the founders on both sides will talk, in good faith, for at least 30 days. If that fails, the state and federal courts located in Cook County, Illinois have exclusive jurisdiction, and both sides consent to it.
14Changes, notices, and the whole agreement
We may update these Terms. If a change materially reduces your rights, we will email the account owner at least 30 days before it takes effect, and you may cancel before then without penalty. Continuing to use the Service after that date means you accept the new Terms. Notices to you go to the email on your account; notices to us go to the address below. These Terms, our Privacy Policy, and any order form are the whole agreement between us and replace any earlier discussions.
